Why the Apple-Beats deal may be dead

“The basic problem with evaluating Beats as an investment for Apple is that it’s not a publicly traded company, so we on the outside have very little to go on,” Mark Hibben writes for Seeking Alpha. “The information about Beats as a business investment is pretty sketchy. There’s the report from July 2013 that Beats might hit $1.4 billion in revenue that year, but no confirmation of whether they hit that number or even got close, let alone turned a profit. The Carlyle Group’s (CG) reported investment of $500 million provides some vote of confidence. In their announcement of the deal, Carlyle also made note of Beats’ better than 60% market share for over $100 headphones.”

“I’m absolutely certain that the meeting took place as reported. Probably Adrian Perica, Apple’s M&A chief, and Eddy Cue were there,” Hibben writes. “There is one piece of information that Apple would consider covered by the NDA: the fact that the meeting took place. The NDAs have the force of a contract, but I’ve never heard of Apple suing anyone for violating an NDA. Apple doesn’t need to. Apple’s big stick to enforce the NDA is that violating it jeopardizes the prospective acquisition. Under the circumstances, most candidates for acquisition keep a low profile until the deal is done. That didn’t happen with Beats, and that’s the big red flag that calls the acquisition into question. It’s not clear what happened, but based on the now infamous Dr. Dre video, the leak probably came from inside Beats. Perhaps the people at Beats assumed on the basis of the meeting that it was a done deal. If so, they shouldn’t have.”

“By violating the NDA, the Beats management marked themselves as not fitting in with the Apple culture of secrecy. Beyond that, Apple probably has no choice but to pull the plug on the deal, if only to ensure that future NDAs would be respected,” Hibben writes. “Is it possible that the deal might still happen? I can’t completely rule it out, but given that I don’t think Apple was that strongly motivated in the first place, I’m not holding my breath.”

  2. Hopefully Apple is able to restructure any deal so they can still get Iovine on their team and the music streaming service to roll into iTunes Radio, but forget the rest of the company (including Dre). I still think that Iovine is the most important part of this deal.

    But if the whole thing fell apart, I wouldn’t care.

    1. This is where Apple comes in hard, pissed off and threatening to pull the deal due to their stupid video. What it really does is allow them to knock 1/3 off the sales price.

  3. Called it 2 weeks ago. You could plot the life of these rumors down to the day.

    Day 14: with no confirmation, pundits that were once all over the rumor as “a done deal” begin distancing themselves, thinking that the Internet has no memory.

    Judging by the fact that most of these asshats will still have jobs after they farce plays out, they may be right.

  4. We know now that Iovine was close to Jobs when the first iTunes announcement came out. Clearly, there is a high level connection there, although Cook is not Jobs. I think with Steve still there, the deal would have been off the second that ill-advised video with Dre surfaced. There is no question Apple needs help with streaming to compete. It’s near impossible to tell how iTunes Radio is doing internationally. And, we all know Apple could buy Pandora and Spotify tomorrow with their giant bank account. I used to work for Apple. Buying companies is more than a monthly happening there. But, the Beats deal seems WAY too much to spend for the smallest player in the market. They don’t need the hardware (overpriced headphones) and they most certainly do not need the brand. The only thing that makes sense is getting Iovine and possibly Dre to negotiate with the labels for a subscription streaming iTunes. My 2 cents. As a shareholder, this deal is not worth more than $1B, and I don’t see Apple closing it any higher.

    1. I seriously doubt they assumed it was a done deal on one meeting. No one who has a successful company is that stupid.

      However, no deal is done until the contracts are signed. This may simply be a matter of Apple’s M&A team getting all of the details worked out with Beats’ lawyers, who may or may not have experience in these types of transactions. It may be nothing unusual at all, except that Dr. Dre announced the deal before it was done.

    1. They have. You get a pair with every new iPhone and iPod you buy.

      But Apple hasn’t been able to create the caché and hipness of Beats headphones, or the same creativity of Beats Music.

  6. What a lack of surprise from the article “Few have addressed the issue of whether there actually is a deal, preferring instead to discuss whether the deal would be good or bad for Apple.”

    Of course few have addressed the issue of a deal, that would require investigative reporting, and facts, perhaps a dash of integrity and goodness knows that’s in short supply these day when it comes to Amurdercan.

  7. Apple is releasing a TV in a few weeks.
    (After no sign of tv) uuuuh, it got delayed because of parts issues. It will come next quarter.
    (Next quarter comes, no tv) the tv was cancelled, they couldn’t get the supply of unicorn tears to wash the screens.

    This is the same thing.
    Made up rumor, now they are backpedaling to cover their butts.
